Detailed Scope & Process

What Is ROC Compliance?

The Registrar of Companies (ROC) is the authority under the Ministry of Corporate Affairs that maintains the public record of every company and LLP in India. ROC compliance means keeping that record complete and current by filing the forms and documents that the Companies Act, 2013 or the LLP Act, 2008 require, within the time allowed. It covers annual filings that arise every year and event-based filings that arise when something changes, such as a new director, a share allotment, the creation of a charge or a change of registered office.

ROC compliance is separate from income tax and GST compliance, although the numbers in all three should agree. A company can be perfectly regular in its tax returns and still be non-compliant with the ROC, and the reverse is equally true.

Who Must Comply?

  • Private limited companies, public limited companies and One Person Companies, including those with no turnover.
  • Small companies and Section 8 companies, which have some relaxations but the same basic obligation to file.
  • Limited Liability Partnerships, which have their own annual forms.
  • Newly incorporated entities, which also have one-time post-incorporation filings.
  • Dormant or inactive entities, which are still required to file unless they have been struck off or have taken the status of a dormant company under the Act.

Annual Compliance Calendar for a Company

The exact dates depend on your financial year and when you hold your Annual General Meeting. For a company with a 31 March year-end, the typical annual cycle is as follows. These are general timelines, and the government extends or changes them by notification from time to time.

  • Board meetings: at least four meetings in a year with a gap of not more than 120 days between two meetings, with relaxations for OPCs and small companies.
  • Annual General Meeting: within six months of the end of the financial year, that is, generally by 30 September, for companies other than OPCs, which are exempt.
  • Financial statements (AOC-4): within 30 days of the AGM. Certain classes of companies file in XBRL format.
  • Annual return (MGT-7 or MGT-7A): within 60 days of the AGM. OPCs and small companies use the shorter form.
  • Auditor appointment (ADT-1): within 15 days of the appointment at the AGM.
  • Director KYC (DIR-3 KYC): by every director who holds a DIN, at the intervals the rules specify.
  • Return of deposits (DPT-3): annual return of outstanding receipts of money or loans not treated as deposits, generally by 30 June.
  • MSME dues (MSME-1): half-yearly return for payments pending to micro and small suppliers beyond the permitted period, where applicable.
  • Beneficial ownership: declarations and filings in respect of significant beneficial owners, where applicable.
  • Statutory registers and minutes: maintained as the Act and the Secretarial Standards require.

Annual Compliance for an LLP

  • Statement of Account and Solvency (Form 8): filed every year by the date the Rules specify, generally within 30 days from the end of six months of the financial year.
  • Annual Return (Form 11): filed within 60 days of the close of the financial year.
  • Changes in partners and designated partners (Form 4) and changes in the LLP agreement (Form 3), within 30 days of the change.
  • Designated partners' KYC and updates to the registered office, where required.

Event-Based Filings

Some filings arise only when something happens. Examples include allotment of shares (PAS-3), appointment or resignation of directors (DIR-12), registration of a charge on assets (CHG-1), special and certain board resolutions (MGT-14), change of registered office or name, increase in authorised capital, and the commencement of business declaration (INC-20A) for newly incorporated companies. The time limit for most is 30 days from the event, and the late fee starts running after that. These are available as separate services and can be included in an annual package if you want them.

What Our ROC Compliance Service Includes

  • A review of your MCA master data and filing history to see what has been filed and what is pending.
  • A compliance calendar for your entity type and financial year, with reminders.
  • Drafting of AGM notice, board report, minutes and resolutions, based on the information you provide, in line with the Secretarial Standards.
  • Preparation and filing of AOC-4 and MGT-7/7A for companies, or Form 8 and Form 11 for LLPs.
  • Filing of ADT-1 and support for director KYC.
  • Preparation of other annual forms that apply to you, such as DPT-3 and MSME-1.
  • Updating of statutory registers, as agreed.
  • Filing acknowledgements (SRNs) and filed copies, with a summary of what is complete and what is due next.

How the Process Works

We start with onboarding and a status check of your entity on the MCA portal. Based on this, we agree the filings in scope and the dates. When your accounts are finalised and audited, you share them with the key details of directors, shareholders and auditor. We draft the meeting documents and the form data, share them for review, and file after your approval. Digital signatures of directors and the professional are applied as the forms require. After the Registrar's system processes the form, we share the acknowledgement. Time taken depends on how quickly the audited financial statements and approvals are available, and on the portal's processing.

What Happens If You Do Not File?

  • Additional fees: a late filing fee accrues for each day of delay on most forms, and it can exceed the normal filing fee in a short time.
  • Penalties: the Act provides for monetary penalties on the company and on every officer in default, and for further punishment in certain cases.
  • Director disqualification: a director of a company that has not filed financial statements or annual returns for a continuous period of three financial years can be disqualified, and the DIN can be deactivated.
  • Strike-off: the Registrar can remove the name of a company that has not carried on business or has not filed returns for the period the Act specifies.
  • Practical problems: difficulty in raising loans, opening or operating bank accounts, tenders, due diligence and exits.

If filings are already overdue, we review the position and prepare the pending forms, in sequence, with an estimate of additional fees. The relief available depends on the notifications in force and the facts, and we do not promise any waiver.

Important Considerations

  • The statutory audit, tax filing and ROC filing should use the same final numbers, so finalise the accounts first.
  • Meetings and resolutions have to actually take place in the manner the law requires. We help with documentation, but the decisions are yours.
  • Annual compliance is a recurring service. Changes in directors, share capital or objects can add forms during the year.
  • Replying to notices from the ROC, adjudication and compounding are separate services.

💰 Pricing Considerations

Our professional fee depends on the type of entity, the number of directors and shareholders, the number of forms in scope, whether the engagement is a single year or an annual package, the quality and timing of your accounts, whether XBRL, DPT-3, MSME-1 or beneficial ownership filings are needed, and whether there are overdue years to regularise. Event-based filings are priced separately unless included in a package. Government fees are separate. ROC filing fees depend on the form and, for several forms, on the authorised capital, and additional fees accrue for delay. DSC charges and other third-party costs are also separate. Notices, compounding, adjudication and strike-off revival are priced separately. Applicable statutory/government fees may vary based on jurisdiction, entity type and application details. Your professional fee quote is shared before work begins.

⚠️

Common Mistakes to Avoid

  • ⚠ Missing the AGM date or holding it outside the allowed time
  • ⚠ Filing AOC-4 or MGT-7 after the due date and paying growing additional fees
  • ⚠ Filing data that does not match the audited financial statements
  • ⚠ Mismatch of director or shareholder details with MCA records
  • ⚠ Not appointing or reporting the auditor correctly
  • ⚠ Ignoring DPT-3 or MSME-1 where they apply
  • ⚠ Skipping filings because the company has no turnover
  • ⚠ Not filing event-based forms such as allotments, director changes and charges within 30 days
  • ⚠ Missing director KYC, which can lead to DIN deactivation
  • ⚠ Not holding the required number of board meetings or recording them properly
  • ⚠ Not maintaining statutory registers and minutes
  • ⚠ Letting the DSC expire before a filing
  • ⚠ Allowing filings to lapse for three years, which can lead to disqualification of directors
  • ⚠ Assuming the ROC will not notice a dormant company

❓ Frequently Asked Questions & Local Advisory in Sanchore

📍 Includes 6 localized questions tailored specifically for Sanchore businesses

18 Q&As
A Pvt Ltd company in Sanchore must file annually: (1) ADT-1 — auditor appointment within 15 days of AGM, (2) AOC-4 — Financial Statements within 30 days of AGM, (3) MGT-7A — Annual Return within 60 days of AGM. The AGM itself must be held within 6 months of the financial year end (i.e., by September 30 for a March 31 year-end). Directors must also file DIR-3 KYC annually by September 30. Additionally, DPT-3, MSME-1, and other forms apply based on your specific company profile.
DIR-3 KYC is the annual KYC filing for all directors holding a DIN (Director Identification Number). It must be filed by September 30 every year. If DIR-3 KYC is not filed, the DIN is marked as 'Deactivated due to non-filing of DIR-3 KYC', and the director cannot sign any MCA form until KYC is completed. A reactivation fee of ₹5,000 is charged for late KYC filing. We file DIR-3 KYC for all directors of Sanchore companies as part of our annual compliance package.
For companies (Pvt Ltd, OPC, Public Limited), the late fee is ₹100 per day per form, with no upper cap for most forms (unlike the earlier slab-based system). For an AOC-4 filed 100 days late, the additional fees are ₹10,000. For LLPs, Form 8 and Form 11 late filing also attracts ₹100 per day per form. Companies that miss annual filings for 3 consecutive years get their directors disqualified under Section 164(2) — they cannot be appointed as director in any company for 5 years. Timely ROC compliance in Sanchore is non-negotiable.
INC-20A is the Declaration of Commencement of Business, required to be filed within 180 days of incorporation for companies with share capital. Without filing INC-20A, the company cannot commence business operations or exercise borrowing powers. This is a common oversight for newly registered companies in Sanchore where founders focus on operations and forget this compliance. If INC-20A is not filed within 180 days, ROC can initiate action to remove the company from the register. We track this for newly registered Sanchore companies and ensure timely filing.
Yes. A company registered with ROC Jaipur must file annual returns even if it has no transactions or revenue. There is a formal process to obtain 'Dormant Company' status under Section 455 of the Companies Act 2013, which reduces the compliance burden (only one annual report every financial year and an annual return). Alternatively, if the company is truly not needed, a formal Strike-Off (winding up) can be done. We advise Sanchore companies on the most cost-efficient approach for inactive entities.
MSME-1 is a half-yearly return required from all companies that have outstanding dues to MSME suppliers beyond 45 days. It must be filed by April 30 (for the October-March period) and October 31 (for the April-September period). Many manufacturing companies in Sanchore's Amritsar-Jamnagar corridor sector purchase from MSME vendors and must track payment timelines carefully. Non-filing of MSME-1 attracts fines. We check your supplier payment profile and file MSME-1 where applicable.
ROC compliance is the set of annual and event-based filings that a company or LLP must make with the Registrar of Companies under the Companies Act, 2013 or the LLP Act, 2008. It includes financial statements, annual returns, auditor appointment, director KYC and changes in directors, capital or registered office.
Every registered company, including private, public, One Person and Section 8 companies, and every LLP must comply, whether or not it has turnover. A company that has been struck off or has gone through the prescribed process to become dormant has different obligations.
The main ones are AOC-4 for financial statements, MGT-7 or MGT-7A for the annual return, ADT-1 for the auditor appointment and DIR-3 KYC for directors. Depending on the facts, DPT-3, MSME-1 and beneficial ownership filings also apply. Event-based forms are in addition.
For a company, AOC-4 is due within 30 days of the AGM and MGT-7 within 60 days, with the AGM due within six months of the year-end. For LLPs, Form 11 is due within 60 days of the year-end and Form 8 around the end of October. Dates can be extended by notification.
Yes. A company with no turnover must still hold its meetings, get its accounts finalised and file its annual forms. Not doing so can lead to additional fees, penalties and eventually disqualification of directors or strike-off.
Additional fees accrue per day of delay on most forms, and the Act also provides for penalties on the company and each officer in default. The amounts depend on the section and the period of default, so we calculate them for your case. These are statutory amounts separate from our fee.
Yes. Under the Companies Act, a director of a company that has not filed its financial statements or annual returns for a continuous period of three financial years can be disqualified, and the DIN can be deactivated. This affects directorships in other companies too.
An OPC files AOC-4 and MGT-7A, appoints an auditor, files director KYC and meets other applicable requirements. It does not need to hold an AGM and has relaxations on board meetings and cash flow statements. It also has to file the commencement of business declaration after incorporation.
An LLP files the Statement of Account and Solvency in Form 8 and the annual return in Form 11 every year, and files event-based forms such as Form 3 for LLP agreement changes and Form 4 for partner changes within 30 days. It also has to file its income tax return.
You need your CIN or LLPIN, audited financial statements, auditor details, director and shareholder information, details of meetings, and information on loans, deposits and MSME dues where applicable. Directors' DSCs are needed for signing.
ROC fees depend on the form and, for some forms, on the authorised capital, and additional fees apply if you file late. We do not quote a single figure here because it varies. We confirm the exact amounts before you pay, and our professional fee is separate.
Once we have the audited financial statements and details, the filing cycle takes about 5 to 10 working days, including drafting and approvals. The Registrar's processing and the speed of your approvals and audit affect the timeline. Overdue years take longer.
