Detailed Scope & Process
What Is an LLP?
A Limited Liability Partnership (LLP) is a business structure created under the Limited Liability Partnership Act, 2008. It is a hybrid: the partners manage the business and share profits as they would in a traditional partnership, but the LLP itself is a separate legal entity. It can own property, enter into contracts and sue or be sued in its own name, and it continues to exist even if partners change. Each partner's liability is generally limited to the amount of their agreed contribution, except in cases of fraud or their own wrongful acts.
LLP registration is the process of incorporating this entity with the Registrar of Companies (ROC) through the MCA portal. After incorporation, the LLP receives an LLP Identification Number (LLPIN), and the partners record their commercial arrangement in an LLP agreement.
Why Many Founders Pick an LLP
- Limited liability: personal assets of partners are generally shielded from the LLP's business debts, subject to the Act.
- Separate legal entity: assets, contracts and bank accounts can be held in the LLP's name.
- No minimum capital: the law does not prescribe a minimum contribution, so partners agree on it among themselves.
- Flexible internal management: the LLP agreement lets partners decide on profit sharing, roles and decision-making, with fewer rules than a company's board and shareholder structure.
- Lighter compliance than a private limited company: an LLP does not need board meetings or annual general meetings in the way a company does, although annual filings are mandatory.
- No cap on partners: an LLP needs at least two partners and has no upper limit.
When an LLP May Not Be the Right Fit
An LLP cannot issue shares, so it does not fit well if you plan to raise equity from venture capital or angel investors, offer stock options or list on a stock exchange. Investors in India generally prefer a private limited company for this purpose. An LLP may also be inconvenient where foreign investment is involved in a sector with conditions, because LLPs can receive foreign investment only as the FDI policy permits. If you expect to go the venture route in the next few years, we will discuss a private limited company with you at the outset instead of selling an LLP that you will have to convert later.
Partners and Designated Partners
Every LLP has partners, and at least two of them must be designated partners. A designated partner is an individual, or the nominee of a body corporate partner, who takes responsibility for statutory compliances such as filing annual returns and ensuring the LLP's records are maintained. The Act requires that at least one designated partner be resident in India, as defined in the LLP Act and Rules. Each designated partner needs a Designated Partner Identification Number (DPIN) and a Digital Signature Certificate (DSC). Individuals and bodies corporate can be partners, including foreign nationals and entities, subject to the FDI policy and FEMA.
What Our LLP Registration Service Includes
- Structure discussion comparing LLP with partnership, private limited company and OPC.
- Arrangement of DSC and DPIN for designated partners.
- Name search and reservation, with the name ending in "LLP" or "Limited Liability Partnership".
- Drafting of the LLP agreement, covering contributions, profit sharing, roles, admission and retirement of partners, and dispute resolution.
- Preparation of the incorporation application (FiLLiP) with the partners' consents and declarations.
- Guidance on stamp duty on the LLP agreement as per your state.
- Filing on the MCA portal, tracking and response to Registrar queries.
- Filing of the LLP agreement with the ROC within the prescribed time after incorporation, where included in your plan.
How the Process Works
We begin with the partners, the business activity, the proposed contribution and the registered office. We then arrange digital signatures and reserve the name. After you approve the drafts, we file the incorporation application on the MCA portal along with the required declarations. The Registrar may approve it or raise queries, which we handle. On approval, the Certificate of Incorporation with the LLPIN is issued. Within 30 days of incorporation, the LLP agreement must be filed with the ROC. Government processing times can vary, so our estimates below are indicative.
Registered Office and Name
An LLP needs a registered office in India to which official communications can be sent. You will need address proof such as a recent utility bill and, if the premises are rented, a rent agreement with the owner's consent. The LLP name must not be identical or too similar to an existing company, LLP or registered trademark, and must not be prohibited under law. Keep two or three options ready, as the Registrar may reject a name.
After LLP Registration: Ongoing Compliance
- LLP agreement filing: within 30 days of incorporation, and any change to the agreement must be filed within the time the Rules prescribe.
- Annual return: filed with the ROC within the prescribed time after the close of the financial year.
- Statement of Account and Solvency: filed every year with the ROC, by the date the Rules specify.
- Income tax return: the LLP files its own return and must file within the due date under the Income-tax Act.
- Audit: required once contribution or turnover crosses the prescribed thresholds, and a tax audit may apply separately.
- Notices of change: changes in partners, designated partners, registered office or name must be intimated within the prescribed time.
- Other registrations: GST, TDS, Shops and Establishment and sector licences, depending on your business.
Late filing attracts additional fees under the Rules. Annual compliance is not part of the registration service unless agreed in writing, and we can support it as a separate engagement.
💰 Pricing Considerations
Our professional fee depends on the number of partners and designated partners, whether any of them are foreign nationals or corporate entities, the complexity of the LLP agreement, and add-ons such as registered office address, GST registration, trademark filing or annual compliance. Government fees and stamp duty are separate. The incorporation filing fee depends on the proposed contribution, and stamp duty on the LLP agreement is fixed by the state of the registered office. DSC charges, notarisation or apostille costs for foreign documents and other third-party charges are also separate. Urgent processing, additional partners or re-filing after Registrar objections may change the overall cost. Applicable statutory/government fees may vary based on jurisdiction, entity type and application details. Your professional fee quote is shared before work begins.
Common Mistakes to Avoid
- ⚠ Choosing an LLP name that is similar to an existing company, LLP or trademark
- ⚠ Appointing fewer than two designated partners or none who qualify as resident in India
- ⚠ Mismatch of names or dates of birth across PAN, Aadhaar and passport
- ⚠ Assuming limited liability protects partners from fraud or their own wrongful acts
- ⚠ Not filing the LLP agreement within 30 days of incorporation
- ⚠ Using a generic LLP agreement that does not reflect the actual deal
- ⚠ Vague clauses on contribution, profit sharing, exit and dispute resolution
- ⚠ Missing the annual return or Statement of Account and Solvency deadlines
- ⚠ Not intimating changes in partners or registered office within the prescribed time
- ⚠ Ignoring audit and tax audit thresholds as turnover grows
- ⚠ Underestimating state stamp duty on the LLP agreement
- ⚠ Choosing an LLP when equity funding or stock options are central to the plan
- ⚠ Letting DSC or DPIN KYC lapse before a filing is due
